Pemba Capital – acquisition of MSL Solutions

• MSL Solutions (“MSL”) is an ASX-listed SaaS provider of point-of-sale, payments and membership software to the sports, leisure and hospitality sectors, servicing stadiums, arenas, clubs and venues
• Miles advised the MSL shareholders on the acquisition of the company by Pemba Capital Partners, implemented by way of a scheme of arrangement at a substantial premium to the prevailing share price
• The transaction took MSL private and combined it with Pemba’s existing hospitality software platform Oolio, to create a scaled hospitality software group

Industry Context

Vertical SaaS providers serving hospitality, sports and leisure venues have attracted strong private equity interest as investors seek recurring, payments-linked revenue and the scope to consolidate fragmented point-of-sale and membership platforms. Take-private activity in Australian small-cap technology accelerated as listed valuations lagged the strategic value of these assets to well-capitalised consolidators. Bringing MSL together with an existing portfolio platform reflects a buy-and-build approach aimed at broadening product depth and customer reach.
